CHARLES T. ("Chuck") MOFFITT

Over more than two decades, Chuck Moffitt has been a CEO, COO or CFO in fourteen companies in diverse industries, combining skills in marketing, finance, strategic planning, and personnel management. He has also served on nine boards of directors, arranged numerous mergers and equity financings, and structured senior debt packages of up to $100 million.

Mr. Moffitt is a member of the Turnaround Management Association, the Association of Insolvency and Restructuring Advisors, and the American Bankruptcy Institute.

Prior to founding C.T. Moffitt & Company, Chuck served as Deputy Mayor of the City of Los Angeles directly responsible for policy guidance of twenty city departments with 18,000 personnel and budgets in excess of $4 billion. Earlier in his career, Chuck was a Vice President at First Interstate Bank where he managed major corporate relationships including Times Mirror, Southern California Edison and Mattel.

From 1967-1975, Chuck held positions in the Federal Government as Special Assistant to the Majority Leadership of the U.S. House of Representatives and earlier as a Foreign Service Officer with the Department of State, serving as U.S. Consul in Recife, Brazil, and as Chief of Staff to the U.S. Ambassador to Brazil.

Chuck is a graduate of UCLA. He earned his M.A. (Economics) at the University of Washington and pursued doctoral studies at the University of California, Berkeley.

JIM JACOBS

Jim Jacobs has over twenty years of experience in corporate management and consulting, with recent emphasis on turnaround management and restructuring.

Jim began his career as a financial analyst with Ford Motors, moving to the West Coast to take successive financial and product management positions with Max Factor, Dart Industries and VHD Programs (a joint venture of Matsushita, GE, JVC, and Thorn/EMI). In 1998-1999 he was Director of Consulting Services at the Valley Economic Development Center, followed by a stint as CFO of Orbit Entertainment Group, a film and television commercial production and web navigation tool company.

In the consulting arena, as an associate with a well known turnaround firm and in his individual capacity, Jim worked on the restructure of several agriculture companies, a major athletic shoe manufacturer and retailer, a computer manufacturer, and a medical products maker. He has significant experience configuring and negotiating mergers and acquisitions, and in Chapter XI environments.

In addition to his earlier experience working at Fortune 1000 companies, Jim has operating experience as a CFO in a high tech (voice recognition) company, and as CEO of frozen food manufacturer Oh Boy! Corporation.

Jim holds a bachelor's degree in from Clark University and an MBA in finance from Boston University.
